Market Entry & One-Stop Shop

Corporate services

We guide our clients through the entire process of launching their business in Poland. We help clients choose the appropriate legal form and establish a corporate entity suitable for their planned business activities in Poland. In particular, we discuss with our clients the legal differences between aktiebolag and Polish sp. z o.o. companies, or between Styrelse and Polish management board (zarząd), ensuring our clients are fully informed before making decisions about their business structure in Poland.

Employment

We assist our clients with preparation of all employment-related documentation and provide guidance regarding Polish labour law and labour market practices. This includes comprehensive advice on various forms of cooperation, from employment agreements and B2B agreements (common in the Polish market) to management contracts. We also help our clients prepare stock option plans and other employee incentive programs (ESOP) that comply with Polish employment and tax regulations.

Tax

We advise on all tax aspects (including income tax and VAT/moms) of launching and doing business in Poland. Within our tax services, we guide you on how to structure your business in Poland to ensure tax efficiency.

Our tax experts will provide you with comprehensive advice on using tax incentives and exemptions, tax aspects of hiring of staff in Poland, and other solutions allowing for reduction of taxes.

Due to the nature of cross-border business between Poland and the Nordics, we regularly advise on international taxation, including potential tax permanent establishment in Poland or withholding tax on dividends and interest under the Polish pay and refund mechanism.

We aim to ensure that contacts of our clients with the Polish Tax Office (urząd skarbowy / Polsk Skatteverket) are smooth and efficient.

Day-to-day legal support

We provide full scope of legal support for day-to-day business operations, including drafting and negotiating a full range of commercial contracts, with particular focus on new technology businesses.

M&A

We regularly advise on all legal and tax matters related to M&A transactions, representing both buy-side and sell-side clients. Our team assists with legal and tax due diligence (including vendor due diligence), drafting and negotiating transactional documents (SPAs and security documents), and supports clients during closing and post-closing activities.
